Sun Energy Solar, Inc. entered into a stock purchase agreement to acquire Acadia Resources Inc. (OTCBB:AADI) on November 27, 2007 in a reverse merger transaction. In consideration for the merger, Acadia Resources Inc. issued an aggregate of 58.48 million shares of common stock to the Sun Energy Majority Shareholders and the other shareholders of Sun Energy at the closing of the merger. Upon completion of the transaction, Carl L. Smith, III, Chief Executive Officer and Chairman of the Board of Sun Energy Solar, Inc. will replace James Donahue as the President and Chief Executive Officer of Acadia.
